By accessing or using ClipQwik (the "Plugin"), operated by Minim-l, LLC, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Plugin.
These terms apply to all users of ClipQwik, including beta testers and paid subscribers.
ClipQwik is currently in beta testing. The Plugin is provided on an experimental basis and may contain bugs, errors, or other issues. We make no guarantees about the Plugin's performance, reliability, or suitability for any particular purpose.
THE PLUGIN IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
During the beta period, features, pricing, and functionality may change without notice. We reserve the right to modify or discontinue the Plugin at any time.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use ClipQwik in accordance with your subscription tier.

You may not:
ClipQwik requires DaVinci Resolve (Free or Studio) to be installed on your computer. You are responsible for ensuring your system meets all requirements to run both DaVinci Resolve and ClipQwik.
You agree to:
ClipQwik, including all software, documentation, and related materials, is owned by Minim-l, LLC and is protected by copyright, trademark, and other intellectual property laws.
You retain all rights to the video projects and content you create using ClipQwik. We do not claim any ownership over your creative work.
IMPORTANT: ClipQwik automates operations in DaVinci Resolve that modify your timeline and projects. While we strive for accuracy, we cannot guarantee that all operations will execute as expected.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINIM-L, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE PLUGIN.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE PLUGIN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Pro tier subscriptions are billed monthly ($15/month) or annually ($120/year) based on your selection. Billing begins immediately upon subscription and recurs automatically until canceled.
Due to the digital nature of the Plugin and the beta status, all sales are final. However, we may provide refunds at our discretion on a case-by-case basis within 7 days of purchase.
You may cancel your subscription at any time. Upon cancellation, you will retain access to Pro features until the end of your current billing period. No refunds will be provided for partial billing periods.
We reserve the right to suspend or terminate your access to ClipQwik at any time, with or without notice, for any reason, including but not limited to violation of these Terms. Upon termination, your license to use the Plugin will immediately cease.
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Plugin shall be resolved in the courts of competent jurisdiction.
We may modify these Terms at any time. We will notify users of material changes by email (to the address provided during signup) or by posting a notice on our website. Your continued use of the Plugin after changes are posted constitutes acceptance of the updated Terms.
